BINDING ARBITRATION — SECTION 13: Most disputes will be resolved through binding arbitration, not in court. You have 30 days to opt out. Your right to a jury trial is waived. See Section 13 for full details.

1Acceptance of Terms

These Terms of Service govern your access to and use of LanePilot, an LTL freight intelligence platform operated by LanePilot Technologies LLC, a Pennsylvania limited liability company. The platform is accessible at LanePilotTech.com and any associated applications or APIs.

By accessing or using the Service — including by entering your email address, clicking any acceptance button, or using any feature — you agree to be legally bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are accessing the Service on behalf of a company or other legal entity, you represent and warrant you have authority to bind that entity.

Clickwrap Agreement: These Terms are presented at account creation and require affirmative acceptance. Use of the Service after the acceptance prompt constitutes a legally binding clickwrap agreement under Pennsylvania law.

Business-to-Business Service: The Service is designed for commercial shippers and business professionals. It is not a consumer product for personal, family, or household use.

2Definitions

Quote CreditSingle-use digital credit permitting one complete rate query session. Consumed on query submission regardless of whether a shipment is booked.
Shipment DataAll information you provide or generated in connection with a freight shipment quoted, booked, or tracked through the Service.

3Description of the Service and Pricing

LanePilot provides a technology platform enabling commercial shippers to compare LTL freight rates, track carrier performance, audit invoices, monitor rate trends, and access anonymized freight market intelligence. LanePilot is a software provider only — see Section 10 for the full non-intermediary statement.

3.2 Free Credits and One-Time Packs: Upon email registration, each new user receives five (5) complimentary Quote Credits. Free Credits are issued once per account, are non-renewing, non-transferable, and have no cash value. An introductory credit pack of 25 tokens for $25 is available once per account in Settings > Billing.

3.3 Command Tier Fair-Use Policy: The Command tier carries no overage charges. A fair-use soft cap of 500 queries/month applies. Accounts consistently exceeding that cap for two or more consecutive months are contacted for enterprise pricing review with 30 days advance notice.

3.6 Quote Credit Consumption: One (1) Quote Credit is consumed per rate query submission, regardless of whether the user proceeds to book. Credits are not refunded for unused sessions.

3.7 Third-Party Rate Data: Carrier rates are sourced from third-party API providers. LanePilot does not guarantee accuracy, completeness, or availability of any rate data. Rates are subject to confirmation by the selected carrier at booking.

4Account Registration and Security

To access the Service beyond the anonymous demo, you must register an account using a valid business email address.

  • Provide accurate, current, and complete registration information.
  • Maintain the security of access to your email account.
  • Accept sole responsibility for all activity under your account.
  • Notify LanePilot immediately at legal@LanePilotTech.com if you suspect unauthorized access.

You may not share, sell, or transfer your account without LanePilot prior written consent.

5Payment, Billing, and Refunds

5.1 Subscription Billing: Paid subscriptions are billed monthly or annually in advance. Subscriptions renew automatically unless cancelled before the renewal date. All card payments are processed by Stripe, Inc.

5.5 Price Changes: LanePilot may modify subscription pricing with 30 days advance written notice. Continued use after the effective date constitutes acceptance.

5.6 No-Refund Policy: Except as required by applicable Pennsylvania law, all subscription fees are non-refundable. Partial-month usage is not credited upon cancellation.

5.7 Failed Payments: If a payment fails, LanePilot will attempt up to three (3) retries over a seven (7) day grace period before suspending Service access.

6Acceptable Use

You agree NOT to:

  • Submit false, misleading, or fabricated shipment data.
  • Reverse-engineer, decompile, or extract the platform data, algorithms, or scoring methodologies.
  • Scrape, harvest, or systematically collect rate data or other content without written permission.
  • Use automated bots, scripts, or crawlers to query the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Share account credentials with third parties or use the Service on behalf of competitors without disclosure.
  • Redistribute, resell, or sublicense carrier rate data obtained through the Service.
  • Use the Service in any manner that violates applicable law.

7Intellectual Property and Data License

7.1 LanePilot Intellectual Property: The Service — including its software, design, content, AI models, algorithms, scoring methodologies, datasets, and trademarks — is owned by LanePilot Technologies LLC or its licensors.

7.2 Your Data License Grant: You retain ownership of Shipment Data you submit. By submitting data, you grant LanePilot a non-exclusive, royalty-free, worldwide license to process, store, and display your data to provide the Service. This license does not include training AI language models on your individually identified data without separate explicit consent.

7.4 AI Model Training Clarification: LanePilot does not currently use your individually identifiable Shipment Data to fine-tune or train AI models. If LanePilot implements a model training program using customer data, LanePilot will provide 30 days advance notice and an opt-out mechanism before any such use.

7.5 SMC3 Data Restrictions: Rate data accessed through the SMC3 LTL Pricing API is subject to SMC3 data licensing terms. You may not export, redistribute, resell, cache, or store carrier rate data obtained through the Service outside the Service interface.

8Data Practices and Privacy

LanePilot collection, use, and sharing of personal information is governed by the Privacy Policy, incorporated by reference.

8.2 Breach Notification: In the event of a security breach affecting personal information, LanePilot will notify affected individuals as required by the Pennsylvania Breach of Personal Information Notification Act (73 P.S. section 2303).

8.3 Do Not Sell: LanePilot does not sell your personal information to third parties.

9Third-Party Services

The Service integrates with third-party providers including:

  • SMC3 — LTL rate data, eBOL, dispatch, and shipment tracking. End users do not interact with SMC3 directly.
  • Stripe, Inc. — Payment processing. Subject to Stripe terms of service at stripe.com/legal.
  • Anthropic PBC — AI language model processing via the Claude API. Anthropic privacy policy at anthropic.com governs Anthropic handling of content.

LanePilot is not responsible for the availability, accuracy, or content of any third-party service.

10Software-Only Platform — Non-Intermediary Statement

LANEPILOT IS A TECHNOLOGY PLATFORM. USE OF LANEPILOT BOOKING, DISPATCH, ROUTING, OR NEGOTIATION TOOLS DOES NOT CREATE A FREIGHT BROKERAGE RELATIONSHIP, AGENCY RELATIONSHIP, OR ANY PROFESSIONAL ADVISORY RELATIONSHIP. LANEPILOT ASSUMES NO LIABILITY FOR ANY SHIPMENT OUTCOME, CARRIER FAILURE, FREIGHT LOSS, DAMAGE, OR DELAY.

LanePilot Technologies LLC is a software-as-a-service provider only. LanePilot is not a freight broker, freight carrier, freight forwarder, third-party logistics provider, or transportation intermediary as defined under federal or state law.

  • LanePilot does not arrange, broker, or procure transportation services on your behalf.
  • All carrier selections are made solely by you.
  • LanePilot does not take physical possession of, or assume any responsibility for, any freight at any time.
  • You are solely responsible for selecting carriers, verifying carrier licensing, authority, and insurance, and all regulatory compliance obligations.

11Artificial Intelligence — Disclaimers and Limitations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LANEPILOT DISCLAIMS ALL LIABILITY FOR LOSSES, DAMAGES, FREIGHT CLAIMS, TARIFF DISPUTES, INVOICE ERRORS, FREIGHT CLASSIFICATION ERRORS, AUDIT INACCURACIES, OR CARRIER SELECTION OUTCOMES ARISING FROM YOUR RELIANCE ON ANY AI OUTPUT.

11.1 Nature of AI Outputs: AI Outputs are informational only and do not constitute legal, financial, accounting, logistics consulting, or any other professional advice. AI models are probabilistic systems. AI Outputs may contain errors, omissions, or inaccuracies.

11.2 User Sole Responsibility for Verification: You are solely responsible for independently verifying all freight classifications, carrier rates, invoice calculations, carrier selections, regulatory compliance obligations, and all AI-generated dispute letters and negotiation documents before transmission to any carrier.

11.3 No Professional Relationship: Use of the Service does not create an attorney-client, accountant-client, logistics consulting, freight brokerage, or any other professional advisory or fiduciary relationship.

12Confidentiality

You may upload or submit non-public business information to the Service, including carrier contracts, tariffs, invoices, pricing data, and routing structures. LanePilot agrees to treat such information as confidential, limit use to providing the Service, and not disclose to third parties except as required by law or with your prior written consent.

13Binding Arbitration and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. This section requires binding arbitration of most disputes, waives your right to a jury trial, and waives your right to participate in a class action. You have the right to opt out within 30 days of first accepting these Terms. Email legal@lanepilottech.com to opt out.

13.1 Agreement to Arbitrate: Except as provided in Section 13.4, you and LanePilot agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration.

13.3 Arbitration Administrator: Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Claims under $25,000 are conducted by document submission. Claims $25,000 and above are conducted in Erie, Pennsylvania or by video conference.

13.5 Waiver of Jury Trial: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY HEREBY IRREVOCABLY WAIVES ALL RIGHTS TO TRIAL BY JURY.

13.6 Opt-Out Procedure: You may opt out of this arbitration agreement by sending written notice to legal@LanePilotTech.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you are opting out.

13.7 Class Action Waiver: YOU AND LANEPILOT EACH AGREE THAT ANY DISPUTE SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13.9 Governing Law: For claims not subject to arbitration, these Terms shall be governed by Pennsylvania law. Legal actions shall be brought exclusively in state or federal courts in Erie County, Pennsylvania.

13.11 Claim Limitation Period: Any claim must be filed within one (1) year after the claim arose. Claims not filed within this period are permanently barred.

14DMCA / Copyright Policy

LanePilot respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. section 512).

15Disclaimer of Warranties

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE PENNSYLVANIA AND FEDERAL LAW, LANEPILOT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

16Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LANEPILOT TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO LANEPILOT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

LanePilot is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or shipment delays.

17Indemnification

You agree to defend, indemnify, and hold harmless LanePilot Technologies LLC, its members, managers, officers, employees, agents, licensors, and successors from and against any and all claims arising out of or relating to: your access to or use of the Service; your violation of these Terms; any Shipment Data or Confidential Information you submit; and any dispute between you and any carrier or third party.

18Term and Termination

18.2 Cancellation by User: You may cancel your subscription at any time through account settings. Cancellation takes effect at the end of the then-current billing period. No partial-period refunds are issued.

18.3 Pause Tier: Instead of cancelling, you may downgrade to the Pause tier ($19/mo or $190/yr). The Pause tier preserves your complete shipment history, scorecard, carrier performance records, and audit log in read-only form for up to twelve (12) consecutive months. At the end of the 12-month Pause period, if you do not resubscribe, your account enters a 90-day data retention window. On Day 91, all account data is permanently and irreversibly deleted.

18.4 Termination by LanePilot: LanePilot may suspend or terminate your account immediately, without notice or refund, for material violation of these Terms, fraudulent activity, non-payment, or conduct that poses a risk to LanePilot or other users.

19Modifications to These Terms

LanePilot may modify these Terms at any time with 30 days advance notice by email or notice within the Service. Continued use after the effective date constitutes acceptance. The current version is always available at LanePilotTech.com/terms.

20Referral Program

Referrer Rewards: When a user you refer subscribes to a paid Professional, Professional+, or Command plan, you receive a 10% discount on your own subscription for one (1) billing cycle.

Referred User Rewards: Shipper tier: 6 bonus Quote Credits. Professional/Professional+/Command: choice of (a) 15% off for first 3 months, or (b) an additional 5% off annual pricing. Not stackable. One-time per account.

21Beta Features

Beta Features are provided AS IS, without any warranty. Beta Features may contain bugs, may be modified or discontinued at any time, and are not suitable for production reliance. LanePilot liability for damages from Beta Feature use is limited to the cap in Section 16.4.

22Electronic Signatures and Records (E-SIGN / UETA)

By accepting these Terms, you consent to the use of electronic records and electronic signatures, consistent with the E-SIGN Act (15 U.S.C. section 7001 et seq.) and the Pennsylvania UETA (73 P.S. section 2260.101 et seq.). Electronic acceptance of these Terms constitutes your valid, binding, and enforceable signature.

23Export Controls and Sanctions (OFAC)

By using the Service, you represent and warrant that you are not located in, or a resident or national of, any country subject to a comprehensive U.S. trade embargo administered by OFAC. You will not use the Service to facilitate the transportation of goods in violation of any U.S. export control law.

24Equitable and Injunctive Relief

You acknowledge that a breach of Sections 6 (Acceptable Use), 7 (Intellectual Property), or 12 (Confidentiality) would cause LanePilot irreparable harm. Accordingly, LanePilot is entitled, without posting any bond, to seek injunctive relief or other equitable remedies in any court of competent jurisdiction.

25Miscellaneous

25.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and LanePilot.

25.4 Assignment: You may not assign these Terms without LanePilot prior written consent. LanePilot may assign freely.

25.5 Force Majeure: LanePilot shall not be liable for delay or failure resulting from causes beyond its reasonable control.

By creating an account or using the Service, you confirm that you have read, understood, and agreed to these Terms of Service — including the BINDING ARBITRATION clause in Section 13, the JURY TRIAL WAIVER in Section 13.5, and the CLASS ACTION WAIVER in Section 13.7.
